A European Union-based waste management solutions provider was preparing to acquire a U.S.-based company specializing in precious metals recycling. Although successful in their home market, the client faced a steep learning curve in understanding U.S. regulatory frameworks, due diligence practices, Environmental, Health, and Safety (EHS) compliance requirements, and cultural differences. With significant stakes on the line, they needed a partner who could provide not only technical expertise but also strategic insight to guide them through this unfamiliar terrain.

Solution

Recognizing the complexity of the situation, Antea Group crafted a tailored approach to address the client's needs. The process began with a comprehensive Phase I Environmental Site Assessment (ESA), including a Material Compliance Review, to gauge the environmental conditions at the U.S.-based recycling facility. Several Recognized Environmental Conditions (RECs) were identified, prompting the need for a Phase II Environmental Site Investigation to assess potential soil and groundwater risks further.

To equip the client with essential knowledge for their U.S. expansion, Antea Group developed an EHS Passport — a comprehensive regulatory roadmap for the U.S. facilities. This document included:

  • A detailed applicability assessment of federal, state, and local EHS regulations.
  • A legal register outlining compliance requirements.
  • Best practices and cultural norms that aligned with U.S. operational standards.
  • Specific compliance reporting and permitting timelines to streamline integration post-acquisition.

Additionally, an Environmental Justice Screening was performed to ensure alignment with broader societal expectations and legal obligations.

Result

Armed with the insights provided by the Phase I ESA, Material Compliance Review, and Phase II Investigation, the client gained a clear understanding of the environmental risks and liabilities associated with the acquisition. This granular knowledge enabled them to make informed decisions and mitigate potential hazards proactively.

The EHS Passport proved transformative, offering critical guidance on regulatory compliance and operational adaptation. By outlining key "License to Operate" requirements, it helped the client navigate U.S. regulations efficiently and harmonize their procedures with local expectations. The forward-looking approach also ensured a smoother transition by addressing differences between existing practices and the new operational landscape.
